Terms of Service
1. Agreement to Terms
By engaging the web solutions services of Urban Web Solutions LLC ("Company," "we," "us," or "our"), you ("Client," "you") agree to be bound by these Terms of Service. These terms govern the provision of all web solutions services, including but not limited to website design, website development, website maintenance, and website optimization.
2. Services and Scope of Work
The specific services, deliverables, timelines, and scope of work will be detailed in a separate Statement of Work (SOW) or service agreement signed by both parties. Any changes to the scope of work must be agreed upon in writing.
3. Client Obligations
The Client agrees to provide all necessary access to information, data, and digital assets required for the Company to perform its services. This includes access to website backends, analytics accounts, social media profiles, and other relevant platforms. The Client is responsible for the accuracy and legality of all materials provided to the Company.
4. Payment Terms
Payment for services will be made according to the schedule outlined in the SOW. Services are typically billed on a monthly retainer basis, payable in advance. Late payments may incur interest charges or result in a suspension of services. All fees are non-refundable.
5. Intellectual Property
Upon full payment for the services rendered, the Client will own the rights to all final, delivered creative work and content produced by the Company specifically for the Client's campaigns. The Company retains the right to use the work for portfolio and marketing purposes. All pre-existing technology, methodologies, and know-how used by the Company remain the sole property of Urban Web Solutions LLC.
6. Confidentiality
Both parties agree to keep confidential all non-public information obtained from the other party during the course of the service agreement. This includes business strategies, client lists, campaign data, and financial information. This obligation of confidentiality shall survive the termination of the agreement.
7. Disclaimers and Limitation of Liability
The Company will make every effort to achieve the Client's desired results. However, we do not guarantee specific outcomes, such as search engine rankings, lead volume, or revenue increases. The technology landscape is constantly changing, and results are subject to factors beyond our direct control. Urban Web Solutions LLC shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services.
8. Term and Termination
The term of the service agreement will be specified in the SOW. Either party may terminate the agreement with a written notice period, typically 30 days, as specified in the SOW. Upon termination, the Client is responsible for all fees incurred up to the termination date.
9. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which Urban Web Solutions LLC is registered, without regard to its conflict of law principles.
10. Modifications to Terms
Urban Web Solutions LLC reserves the right to modify these Terms of Service at any time. Clients will be notified of any material changes. Continued engagement of our services after such notification constitutes acceptance of the modified terms.
